UN Union Financial Group Cooperation Agreement
 for Fund & Invoice from 25 Prime Bank

甲方（開票方/操作方）：聯合國世界財富聯盟亞太集團 
                       北京洪蓮偉業投資顧問有限公司 
                                  Party A(Biller / Operator): 
UN World Fortune Union Financial Group Limited
Beijing Honglian Weiye Invest Consulting Co. Ltd.

乙方（需款方）： 
Party B(loanee): 


   為促進世界和平,振興全球經濟,為了能盡快的發展各國的經濟,聯合國世界財富聯盟財團已經備齊不少資金做國際金融,以銀行票據買賣和租賃等的形式發展合作企業的經濟. 
In order to promot world peace, prosper globle economy, also in order to develop economy of every country, we, UN World Fortune Union Financial Group Limited have prepared huge capital to do international funding, in form of bank bill trade and lease to help economy development of our cooperator.
 
   北京洪蓮偉業投資顧問有限公司是聯合國世界財富聯盟財團唯一指定金融操作公司,為聯合國世界財富聯盟財團國際融資做平台操作公司. 
Beijing Honglian Weiye Invest Consulting Co. Ltd. is the only funding operation company solely designated by UN World Fortune Union Financial Group as funding operation platform.


一.本財團國際融資銀行開票銀行:全球排名前25大的銀行. 
I  Billing bank of our international funding bank: World first 25 prime bank

二.幣種：美元（USD）或者商议币种 
II  Currency: US Doller (USD)  or other negotiated currency

三.開票金額：一次為1000萬美元,總金額最高可到5000億美金. 
III  Bill sum: 10 million USD each time, top sum is 500 billion USD.

四.使用期限：一年（365天）
IV  Validity: One year (365 days) 

五.查詢方式：銀行對銀行以SWIFT—MT799方式執行。 
V  Probe method: Bank to bank by SWIFT— MT799

六.出票行回函內容：該本票是我行開出，真實、有效、到期由我行負責100%保兌。 
VI  Biller bank endorsement: The said cashier's cheque issued from our bank is genuine , effective and 100% converted from our bank after matured.

七.甲方提供給以乙方為受益人的世界二十五大銀行，只作擔保質押用，乙方不許貼現，所貸出的款項用於投資雙方融資合作專案中。借款到期之前15天內乙方無條件自行平倉退票給甲方開票銀行。 
VII  Party A issues deposit bill from 25 prime bank in favour of Party B, to be used only as guaranty and impawn, no discount allowed. The loan is to be used in mutal invest project. The loan must be closed position unconditionally and return the deposit to biller bank of Party A 15 days ahead of the matured date.

八.甲方向乙方開出一年期有效的銀行票據，根據合同金額開票，每一單不超過1000萬美元，雙方同意按照每張銀行面額數量進行結算。 
VIII  Party A issues a one year effective bank bill to Party B based on contract value, each singular bill is no more than 10 million USD. Both parties accept to be balanced on face value of bank bill.

九.乙方辦理第一筆質押貸款後，以50%的資金雙方共管，用於融資項目的啟動資金及中國深圳、上海、北京前期工作費用，雙方合作融資_________億美元進入合作公司帳戶。 
IX  After the first impawn loan is checked out by Party B, 50% of it shall be taken apart to be supervised by both Party A and Party B, to be used as initial fund of the concerning project, and the prophase expenditure in Shenzhen, Shanghai and Beijing.  Both sides co-fund  _______  million USD in favour of the cooperate company account

十.雙方合作組建的項目公司，乙方須保證甲方不少於30%的股份。 
X  In the cooperated project company set up by both parties, Party B must ensure no less than 30% of shares to Party A 

十一、操作程式： 
XI  Operation procedure:

1、雙方簽訂本協議後1個工作日內,乙方必須將銀行開單費,銀主資金利息款及中間人佣金總額_______%一次性打入甲方帳號. 
Within I bank work day after signing of the ageement, Party B must transfer the documents expenditure_______% of the total aimed sum to Party A’s account, inclding bank bill issuing charge, interest of fund owner, and mediator’s commission

2、雙方簽訂本協議後3-5個工作日內開出25大銀行（1000萬美元）並上網，供乙方查詢。 
Within 3 – 5 bank work days after signing of the ageement, Party A issues 10 million USD from 25 prime bank and post on net for Party B’s probation.

3、該銀行票據正本即時用銀行快遞在1天內送達乙方接證方銀行接證行和開證行立即以SWIFT、MT799查詢確認。 
The hard copy of the said bank bills shall be sent to Party B’s reception bank by courier within 1 day. Reception bank and issuing bank can check and validate via SWIFT and MT799

4、乙方銀行收到出票銀行的MT799的“我行開出，真實、有效，到期我行負責100%保兌”為準。 
It is confirmed only after Party B’s bank received MT799 from biller bank, endorsed ‘it is issued from our bank, genuine , effective and 100% payable from our bank after matured’.

5、乙方應在3-5個工作日內辦完相關的抵押借款手續，將10%一次性支付給甲方指定的銀行收款帳戶，其餘按票面額的50%的資金雙方共管，至此該單交易結束並進入下一單交易直至完成總額_____萬(美元)開票貸款合作。
Party B shall carry out all relevant mortgage loan procedure within 3-5 bank work days, and transfer 10% in one time to Party A’s designated bank account. The rest shall be done by 50% under supervision of both parties. The bill transaction closed at this stage and entering into next bill dealing till achieved the bill cooperation of total _____ million USD.

十二、違約責任： 
XII   Breach obligation
A、甲方責任： Party A’s obligation

1、.雙方簽署本協議後,甲方5天內不將以乙方指定受益人一年期銀行票據送達乙方指定銀行的，屬甲方違約，雙方合作解除。 
After signing of the Agreement, in case Party A is not able to issue a one year bank bill to beneficiary designated by Party B, it means Party A breached the Agreement, and the cooperation cancelled.

2、乙方銀行發出查詢函後1-2天內，出票銀行沒有回復或回復內容不符合“我行開出，真實、有效，到期我行100%保兌”的，屬甲方違約，雙方合作解除，甲方賠償1%損失給乙方。 
After probe letter issued from bank of Party B, within 1 –2 bank days biller bank didn’t give response or not meet our requirement of  ‘it is issued from our bank, genuine , effective and 100% payable from our bank after matured’, it means Party A breached the Agreement, and the cooperation cancelled, Party A shall compensate  1% as loss to Party B.

B、乙方責任： 
Party B’s obligation

1、雙方簽署本協議後，乙方1天之內不把開票等綜合費用打到乙方指定的銀行帳戶,屬乙方違約,雙方合作解除. 
After signing of the Agreement, within 1 bank days Party B is not able to transfer the total expenditure to the bank account designated by Party A, it means Party B breached the Agreement, and the cooperation cancelled.

2、以乙方指定受益人名稱開出的一年期銀行票據經乙方銀行查詢確認屬實後10天內，乙方不支付10%的投資回報給甲方的，屬乙方違約，甲方通知銀行取消該銀行票據，且乙方應賠償1%損失給甲方。 
After the one year period bank bill issued in named of beneficiar designated by Party B is probed and varified by Party B’s bank, within 10 days Party B is not able to repay 10% of invest redound to Party A, it means Party B breached the Agreement, and Party A shall inform the bank to cancel the bank bill, and Party B shall compensate 1% as loss to Party A.

3、乙方貸款後，不將50%的資金與甲方共管，或未終雙方協商一致改變資金用途，屬乙方違約，乙方應賠償200%損失給甲方。 
After get loan, Party B didn’t take out 50% of total fund to be co-supervised by both parties, or change fund purpose without both party negotiated and agreed, it means Party B breached the Agreement, and Party B shall compensate 200% as loss to Party A.

十三、本協議一式三份，甲、乙雙方和仲介人各執一份。本協議經甲、乙雙方法人或代理人簽字蓋章，即時生效。 
This Agreement is made in triplicate, each of Party A, Party B and mediator keep one copy. The Agreement become valid once being signed and sealed by Party A, Party B and mediator agent.

十四、甲、乙雙方有爭議可協商解決，若不能協商，雙方均可向所在地法院申請仲裁解決。 
Any dispute arise from the Agreement shall be solved by both parties. If can’t be resolved, both party shall appeal to local court for arbitration
